7. ACKNOWLEDGEMENT AND TERMS OF USE

By signing this form, the undersigned acknowledges and agrees to the following terms and conditions:

All PDK materials, including but not limited to design rules, device models, standard cell libraries, and documentation (collectively, “PDK Materials“) are the proprietary and confidential information of FOUNDRY NAME (“FOUNDRY”).

The company identified above (“COMPANY”) and its authorized users shall:

  • Maintain the confidentiality of the PDK Materials;
  • Use the PDK Materials solely for the purpose of designing integrated circuits to be manufactured by FOUNDRY;
  • Not disclose, distribute, or transfer the PDK Materials to any unauthorized third party;
  • Not reverse engineer, decompile, or disassemble any software or other components of the PDK Materials;
  • Not use the PDK Materials to develop or improve competing foundry processes or technologies;
  • Implement appropriate security measures to prevent unauthorized access to the PDK Materials;
  • Notify FOUNDRY immediately upon discovery of any unauthorized use or disclosure of the PDK Materials.

Upon termination of the business relationship between COMPANY and FOUNDRY, or upon FOUNDRY’s request, COMPANY shall promptly return or destroy all copies of the PDK Materials and provide written certification of such destruction.

Access to the PDK Materials is granted on a temporary basis and may be revoked by FOUNDRY at any time.

COMPANY acknowledges that full use of the PDK Materials requires a separate Technology Usage License Agreement with FOUNDRY, which shall govern the terms and conditions for the design, development, and manufacturing of products using FOUNDRY’s technology.

PDK Materials are provided “AS IS” without warranty of any kind. FOUNDRY disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

COMPANY shall indemnify and hold harmless FOUNDRY from and against any claims, damages, liabilities, costs, and expenses arising from COMPANY’s use of the PDK Materials or breach of these terms.

This acknowledgement shall be governed by the laws of JURISDICTION without regard to its conflict of laws principles.

COMPANY understands that a Non-Disclosure Agreement (NDA) must be in place between COMPANY and FOUNDRY before any PDK Materials will be provided.

Design Rules Manual: Comprehensive documentation of all design rules and constraints for the process technology.

Process Design Rules: Specific technical parameters and limitations for the manufacturing process.

DRC/LVS Rule Decks: Electronic rule decks for Design Rule Checking and Layout vs. Schematic verification.

APPENDIX B: PDK ACCESS PROCEDURE

  • Submission of Request Form: Complete and submit this form to your FOUNDRY account representative.
  • NDA Verification: Ensure an appropriate Non-Disclosure Agreement is in place.
  • Request Review: FOUNDRY will review your request and may contact you for additional information.
  • Approval Process: Upon approval, you will receive confirmation and instructions for accessing the PDK.
  • User Setup: FOUNDRY will create accounts for authorized users in the secure PDK portal.
  • Training: Optional training sessions may be arranged for new PDK users.
  • Support: Technical support contacts will be provided for PDK-related questions.
  • Updates: Notification system for PDK updates and new versions.
  • Technology License Agreement: For proceeding to manufacturing, a comprehensive Technology Usage License Agreement must be executed.
